Guillermo is an Associate with experience in financial analysis, due diligence, data modeling, capital raises, capital restructurings and M&A transactions. Guillermo has assisted clients and equity sponsors in a variety of buy-side and sell-side transactions for middle-market companies including development of in-depth data modeling, entity valuations, pitch presentations, sales agreements, LOI’s, purchase and sales agreements, and other disclosure and analysis documents.
Guillermo recently assisted in the marketing and sale of over 230 Quick Service restaurants with combined sales of over $210M. Guillermo advised the franchisor, prepared valuation and marketing materials for multiple store packages, developed comparable transactions analysis, discounted cash flow (DCF) and LBO analysis, and assisted across the transaction process from pitches, to LOI’s, APA’s and deal closing.
Guillermo also assisted in the sale of over 120 pizza-concept restaurants with $115M in revenue. Guillermo advised the seller and prepared valuation and marketing materials for associated business and real estate entities using DCF analysis based on pro-forma projections as well as comparable companies, transactional and LBO analyses. The in-depth analysis resulted in the buyer increasing the final bid by 9%. Guillermo also organized the due diligence process and facilitated party requests and documents in the data room which led to a smooth transition/handover.
Guillermo provided buy-side advisory services in the ongoing acquisition of a 40-unit restaurant chain. Guillermo worked directly with new company management and the equity sponsor in the preparation of analysis and marketing materials to effectively market the purchase with banks and lenders. Guillermo also developed LBO financial models to determine/drive: purchase price, IRR, cash-on-cash, and returns on pro forma statements, including the revolving credit facility draw for new store development and CAPEX for remodeling.
Prior to joining Mackinac Partners, Guillermo served as Senior Investment Banking Analyst for Peak Franchise Capital in Dallas, where he developed comprehensive models for buy-side and sell-side M&A transactions, including the closures of over 20 deals, numerous debt and equity capital raises and corporate capital restructurings. Previously, Guillermo worked as a Summer Analyst for Robert W. Baird & Co. and First Southwest Company in the DFW area.
Guillermo is a cum laude graduate of Texas Christian University in Fort Worth, TX where he earned a Bachelor of Business Administration in Finance, a Bachelor of Science in Economics and served as President/Founder of the TCU Golf Club and member of the Educational Investment Fund (EIF).
