Spencer is an Associate with considerable expertise in financial modeling and assessment, due diligence, sell-side M&A transactions, valuations, distressed debt and liquidity analysis, company/portfolio investment performance assessments, and private equity investment pooling, analysis and credit underwriting.
Spencer’s transaction experience includes both middle-market M&A advisory and the underwriting of revolving credit facilities for large-cap financial sponsors across industries that include business services, building products, heavy machinery, distribution, retail manufacturing, healthcare, and SaaS. He has strong cross-functional abilities to assist companies with their financial positioning and operations in advance of transactions, including development of operating, discounted cash flow, leveraged buyout, and merger models to sensitize valuation; assessment of operational performance and financial returns; management of due diligence; and preparation of marketing documents such as confidential information memoranda, teasers, and management presentations.
Spencer recently assisted on the sale of ., a portfolio company of American Industrial Partners, and served as a sell-side advisor for a heavy equipment rental company, including development of three-year detailed operating models and financial forecasts. Spencer also recently provided strategic advisory assistance to a distressed , which included assessment of the restructuring plan management had previously undertaken and development of revised financial and operating models which helped identify core issues with sales and marketing and outsourced vendor costs.
Prior to joining Mackinac Partners, Spencer served as an Investment Banking Analyst for both Wells Fargo Securities in Charlotte, NC and BDO Capital Advisors in Boston, MA. Across these roles, Spencer assisted with the execution of several lending and M&A transactions for both strategic and financial sponsors. Spencer’s responsibilities included structuring and underwriting new facilities in excess of $3 billion dollars; tracking several billion dollar portfolios of lending facilities for large-cap financial sponsors; and executing sell-side M&A transactions for middle market companies, primarily between $50 and $300 million dollars in enterprise value.
Spencer graduated cum laude from the University of South Carolina Moore School of Business with a B.S.B.A. in Finance and Economics. He also holds Series 79 & 63 FINRA/Investment Banking certifications.
